These Terms of Service (the “Terms”) set forth the conditions for using the online store “Chef-d'œuvre” (the “Service”) operated by Aglaia Co. Ltd. (the “Company”, “we”, “us”). By accessing or using the Service, you agree to be bound by these Terms.
1. Scope
These Terms apply to all use of the Service and all purchases of products from the Company. Our “Legal Notice (Act on Specified Commercial Transactions)”, “Privacy Policy”, and other policies or notices published by the Company form part of these Terms.
2. Formation of Sales Contract
A sales contract is formed when you place an order on the Service and we send an order confirmation notice.
Even after a contract is formed, we may cancel all or part of an order if:
- the item is out of stock or unavailable due to production or procurement circumstances
- payment authorization is not obtained from the payment provider
- we reasonably suspect fraudulent activity, false information, or resale purposes
- we otherwise determine, on reasonable grounds, that the order is inappropriate
3. Prices and Payment
Product prices displayed on the Service include Japanese consumption tax unless stated otherwise. Payment methods, timing, and deadlines are as described in our “Legal Notice (Act on Specified Commercial Transactions)”.
For “Buy Now, Pay Later” or other post-paid methods such as Paidy, the terms and conditions of the relevant payment provider apply.
4. Shipping and Delivery
Shipping timeframes are described in our “Legal Notice (Act on Specified Commercial Transactions)”. Delivery may be delayed due to peak seasons, weather, carrier conditions, customs procedures, or other factors beyond our control.
5. International Orders
For international shipments, any customs duties, import taxes, VAT, brokerage fees, or other charges imposed by the destination country are the customer’s responsibility. We are not responsible for delays, seizures, returns, or disposal by customs authorities.
6. Cancellations, Returns, and Exchanges
Once an order is confirmed, we do not accept cancellations or changes.
Due to the nature of food products and hygiene requirements, we do not accept returns or exchanges based on customer preference, including unopened items, unless otherwise required by law.
If an item is defective or incorrect, please contact us within 7 days of delivery. We will respond in good faith.
The statutory “cooling-off” period does not apply to online sales in Japan under the Act on Specified Commercial Transactions.
7. Prohibited Conduct
- Violating laws or public order and morals
- Fraudulent orders, chargebacks in bad faith, or providing false information
- Infringing intellectual property rights of the Company or third parties
- Providing benefits directly or indirectly to anti-social forces
- Any conduct we reasonably deem inappropriate or harmful to the Service
8. Intellectual Property
All content on the Service (including product photos, text, logos, and designs) is owned by the Company or legitimate rights holders and is protected by applicable laws. You may not use such content without authorization.
9. Disclaimer
Due to the nature of natural ingredients and production processes, products may vary in flavor, aroma, and appearance. Individual sensory preferences differ; please understand these characteristics.
10. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
